Terms of Agreement This Freelance Contributor’s Agreement is entered into between the Coaching Commons, a project of The Harnisch Foundation, and yourself, effective as of your execution and submission of this agreement by clicking the "I Agree" box after reading this agreement.
In consideration of the mutual promises contained here, you and the Coaching Commons agree as follows:
Application to the Coaching Commons must be accurate, truthful, reviewed and approved by the team at Coaching Commons before you are eligible for a paid freelance assignment.
We will notify you via email if we have accepted or rejected your application and story pitch. Applications and story pitches are reviewed by the editorial team each week.
* If your application and story pitch is accepted, you will create an original work of authorship. This story may be print, print with video or print with podcast. (Note: Avoid using music as this requires paying royalty fees.) Delivery deadline and compensation offer will be determined on acceptance of your application and story pitch.
All stories must meet the quality standards set by the Coaching Commons and any applicable style guide, as determined by the editorial team. Stories are written in a professional manner in accordance with the highest level of integrity customarily observed by skilled professionals.
Once your completed story is emailed to the Editor, the Coaching Commons Editorial Team will proof, edit, and your story submission will be accepted or declined for publication and compensation.
We will notify you via email if we have accepted or rejected your story submission.
* If story submission is accepted, the Coaching Commons editorial team will add photo/graphic/headline (when appropriate), assign the story a publish date, and will request invoice from author.
The Coaching Commons will be deemed the primary owner of all rights to the story and retains the right to make all uses of the story internationally including editing, corrections and author attribution. The author also retains rights to distribute the story with appropriate attribution to the Coaching Commons. Other online or print publications may reprint freelance articles with appropriate attribution to the author and the Coaching Commons.
* Following story submission acceptance, we will pay you agreed compensation directly through your PayPal account with the information you provide to us. (Generally within 10 days after story submission)
Freelance writers are independent contractors and are not authorized to make representations or commitments to third parties on behalf of the Coaching Commons.
* If story submission is rejected, we may provide you with an opportunity to modify the story and resubmit for approval.
If we believe you have made a good faith effort to write the story, but we choose not to accept the story submission for any reason, we may elect to decline publication and pay you a "kill fee" (depending on the story, up to 15% of the payment agreed amount.)
Note: Coaching Commons will not pay one freelance writer more than two “kill fees.”
If we reject a story submission, all of your original rights to this story will be held by you.
Please confirm that:
- * You are at 18 years of age or older
- * You obtained all authorizations and consents necessary to execute and enter into this agreement and perform your obligation
- * You will comply with all applicable laws
- * The story will be original and authored only by you
- * The story will not defame or disparage any person or entity or infringe upon or violate the intellectual property rights, rights of privacy, or any other rights of any person or entity
- * You have not and will not convey or impair any rights in and to the story
- * If you learn of any claims alleging that the story infringes any third party's rights or is unlawful, you will immediately notify us
- * All of the information you have provided and will provide to us in connection with this agreement is and will at all times be true and correct and not contain any omissions.
- * You will abide by the SPJ Code of Ethics.
Taxes:
- * You are responsible for calculating and paying all taxes owed on all compensation received by you from us.
- * If you are a US citizen, you must complete and submit to us an IRS Form W 9 http://www.irs.gov/pub/irs-pdf/fw9.pdf with your invoice.
- * No worker's compensation or other insurance will be obtained by us on your behalf.
- * No payroll deductions for employment taxes or insurance of any kind will be paid by us.
- * We are not a signatory to any agreement that would require payments to any union or guild in connection with this agreement.
